How it works
Buy or sell a business without trusting a stranger with your money.
Bizflip is a guided, escrow-backed marketplace. A deal moves through clear stages, information is revealed as trust grows, and funds only change hands when both sides have delivered. Here's the whole process, start to finish.
01 — Browsing & access
Browse free — until it gets serious
Anyone can look around. You can browse and swipe through listings without an account, and you only identify yourself when you decide to take a real step toward a deal.
Free to browse
Explore every listing and swipe through them with no account and no login. Just start looking.
A daily swipe allowance
You get a set number of swipes each day. The count resets automatically every 24 hours.
Pick up where you left off
Come back later and you resume from the last listing you viewed — no scrolling to find your place.
The swipe gate
At your 5th swipe, you choose how to keep going
Free browsing runs until your fifth swipe. To continue past it, there are two paths — one that signals real interest, and one that simply lifts the limit.
Send a soft offer
Unlocks 5 more swipes — up to 2 soft offers a day.
- A quick email signup — no phone number or SMS required.
- A price, or a price range you have in mind.
- Your intent: just exploring, price dependent, or ready to move.
Subscribe
Lifts the daily swipe limit so you can keep browsing freely.
Best if you just want to keep exploring without committing to an offer yet.
What a soft offer is
- Each soft offer unlocks 5 more swipes.
- You can send up to 2 soft offers a day — 10 extra swipes in total.
- It's non-binding and off-chain: no escrow and no document signing.
- It doesn't change what you can see on a listing.
Signing up mid-session just resumes your current position — creating an account on its own doesn't reset or add swipes.
What you can see, and when
Before any unlock, every listing shows high-level info only:
- Category
- Revenue range
- General location
- Short description
Sensitive details stay hidden, and a soft offer does not change that. To go deeper, Unlock Full Details is a separate action that starts ID verification and an NDA — only then do the specifics open up.
Every listing is labeled by type
So you know who you're dealing with from the start, each listing carries a type set when it was created:
02 — Make an offer
Two ways to make an offer
Every deal starts with an offer, and there are two routes to choose from. Pick the one that fits how much you want to move fast versus shape the terms. Both routes lead into the same escrow-backed close.
Offer type A
Express Offer
Fast and firm. You commit to the asking price (or close to it) with minimal back-and-forth.
- One clear, near-asking price — no rounds of haggling.
- Sellers can accept on the spot, so it moves quickly.
- Best when the listing already matches what you want.
Good for decisive buyers and sellers who want a clean, speedy close.
Offer type B
Negotiated Offer
Propose your own terms. The seller can accept, decline, or counter — with room for due diligence.
- Set price, structure, and conditions to suit the deal.
- Structured counters keep negotiations on the record.
- Best for complex deals that need shaping before close.
Good for deals with moving parts — earn-outs, asset splits, or staged payments.
Both paths converge into escrow
03 — The deal flow
How a deal moves, step by step
From first glance to final handoff, every deal follows the same path. The further it goes, the more both sides have committed — and the more is protected.
- 01
Browse & shortlist
BuyerBuyers explore listings and see a limited public summary of each business — enough to gauge fit, not enough to identify or expose the seller.
- 02
Make an offer
BuyerThe buyer chooses an Express or Negotiated offer. Negotiated offers may go through a few structured rounds; Express offers can be accepted right away.
- 03
Agree the terms
BothOnce buyer and seller align on price and conditions, the deal terms are recorded. This is the agreement escrow will hold both sides to.
- 04
Fund escrow
BuyerThe buyer deposits funds into a neutral escrow account. The money is now committed but not released — it sits safely while the rest of the deal is completed.
- 05
Verify & hand over
BothWith funds secured, the seller transfers the agreed assets — accounts, contracts, credentials, inventory — and the buyer confirms each item against the agreement.
- 06
Release & close
BothWhen both sides confirm the handover is complete, escrow releases the funds to the seller. The deal closes with a documented trail of every step.
04 — Where our role ends
What Bizflip does — and what it doesn't
We give you the rails: a structured place to deal, staged access, and escrow to protect the money. We are not a party to your deal, and there are important things we don't do. Read this part carefully.
We provide
- A structured marketplace to list, discover, and offer.
- Two clear offer paths — Express and Negotiated.
- Staged information access that unlocks as a deal progresses.
- Escrow rails that hold and release funds against agreed milestones.
- A documented trail of each step in the process.
We do not
- Verify that a seller actually owns, or has the right to sell, a business.
- Guarantee that a listing's financials, figures, or claims are accurate.
- Guarantee deal terms, valuations, or that any deal will close.
- Replace your own lawyer, accountant, or independent due diligence.
- Take a side, or act as a party to the agreement between buyer and seller.
Treat everything you see as a starting point, not a promise. The escrow protects the movement of money — it does not vouch for the business behind the listing. Get independent legal and financial advice before you commit.
